Terms of Service

Please read these Terms of Service carefully before using the services offered by WebMonks Technologies. By engaging our services, you agree to comply with and be bound by the following terms and conditions.
1. Acceptance of Terms
By accessing and using the services provided by WebMonks Technologies ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Services
WebMonks Technologies provides software development, web development, mobile application development, UI/UX design, cloud services, quality assurance, and related technology consulting services. The specific scope, deliverables, and terms for each engagement will be outlined in a separate Statement of Work (SOW) or project agreement.
3. Intellectual Property Rights
Upon full payment for services rendered, all intellectual property rights for custom-developed code, designs, and deliverables will be transferred to the client as specified in the project agreement. WebMonks Technologies retains the right to use general knowledge, techniques, and experience gained during the engagement. Pre-existing intellectual property, third-party libraries, and open-source components remain subject to their respective licenses.
4. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This includes but is not limited to business strategies, technical specifications, source code, customer data, and financial information. Confidentiality obligations survive the termination of the agreement for a period of two (2) years.
5. Payment Terms
Payment terms will be specified in the project agreement or SOW. Unless otherwise agreed, invoices are due within 15 days of receipt. Late payments may incur interest at 1.5% per month. WebMonks Technologies reserves the right to suspend services for accounts overdue by more than 30 days.
6. Project Timelines
Project timelines and milestones will be established in the SOW. While we strive to meet all deadlines, timelines may be adjusted due to scope changes, client delays in providing required materials or feedback, or unforeseen technical challenges. Any timeline changes will be communicated promptly.
7. Warranties and Disclaimers
WebMonks Technologies warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after delivery for bug fixes related to the delivered scope. Beyond this warranty, services are provided "as is" without additional warranties, express or implied.
8. Limitation of Liability
To the maximum extent permitted by law, WebMonks Technologies' total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question. We shall not be liable for any indirect, incidental, consequential, or punitive damages.
9. Termination
Either party may terminate an engagement with 30 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. WebMonks Technologies will provide all completed deliverables and assist with knowledge transfer as reasonably necessary.
10. Non-Disclosure Agreement
We sign NDAs before starting any engagement. All client data, project details, and business information are kept strictly confidential. Our team members are bound by internal confidentiality agreements.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
12. Changes to Terms
WebMonks Technologies reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
